Terms of Service

1. Agreement to Terms

By creating an account or using the RealtyFlow CRM platform (“Platform”), you and the organisation you represent agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

2. Description of Service

RealtyFlow is a cloud-based CRM and listing management platform for real-estate professionals. It provides tools for managing properties, leads, contacts, projects, and marketplace listings. Access is provided on a subscription basis.

3. Accounts & Organisations

• You must be at least 18 years old and authorised to act on behalf of your organisation.
• You are responsible for all activity that occurs under your account credentials.
• Organisation administrators are responsible for managing team member access and permissions.
• You must provide accurate registration information and keep it up to date.
• You may not share account credentials with persons outside your organisation.

4. Subscriptions & Payments

Access to paid features requires an active subscription. Subscription fees are charged in advance on a monthly or annual basis as selected at sign-up. All fees are non-refundable except as required by Kenyan consumer protection law. We reserve the right to change pricing with 30 days’ written notice. Continued use after the price change takes effect constitutes acceptance of the new pricing.

Failure to pay subscription fees may result in suspension of access to the Platform. Data will be retained for 90 days after account suspension to allow for reactivation or export before permanent deletion.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable Kenyan law or regulation.
• Enter false or fraudulent data into the CRM.
• Attempt to gain unauthorised access to other organisations’ data.
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
• Resell or sublicense access to the Platform without our written consent.
• Use the AI features to generate content that is misleading, defamatory, or in violation of any law.

6. Your Data

You retain full ownership of all data you enter into the Platform (contacts, leads, properties, etc.). By using the Platform, you grant us a limited, non-exclusive licence to host, store, and process that data solely for the purpose of providing the service to you. We will not use your CRM data for our own marketing or share it with third parties outside the scope of our Privacy Policy.

You are responsible as a data controller for ensuring that the personal data of your contacts and leads is collected and processed in accordance with the Kenya Data Protection Act 2019.

7. Intellectual Property

The RealtyFlow name, logo, and all platform technology and content created by us are our intellectual property. Nothing in these Terms grants you any rights in our intellectual property other than the right to use the Platform as described herein.

8. Privacy & Data Protection

Our collection and use of your personal information is governed by our Privacy Policy, which forms part of these Terms. We process personal data in accordance with the Kenya Data Protection Act 2019 (Cap. 411C).

9. Cross-Border Data Transfers

To deliver the Platform, we rely on third-party technology providers whose infrastructure is located outside Kenya, including in the United States and the European Union. By using the Platform, you acknowledge and agree that personal data associated with your account — including account credentials, usage information, and where the AI generation feature is used, property listing content — may be transferred to, stored in, and processed in countries outside Kenya.

All such transfers are carried out under appropriate contractual safeguards as required by Section 48 of the Kenya Data Protection Act 2019. We enter into data processing agreements with all sub-processors to ensure an adequate level of data protection.

10. Service Availability & Changes

We aim for 99.5% monthly uptime but do not guarantee uninterrupted access. We may modify or discontinue features with reasonable notice. We will not materially reduce core functionality during a paid subscription period without offering a pro-rata refund.

11. Limitation of Liability

To the maximum extent permitted by Kenyan law, RealtyFlow’s total liability to you shall not exceed the subscription fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential losses, including loss of data, revenue, or business opportunity.

12. Termination

Either party may terminate these Terms on 30 days’ written notice. We may terminate immediately for material breach, non-payment, or illegal use. Upon termination, your access ceases and your data will be retained for 90 days before permanent deletion.

13. Governing Law & Disputes

These Terms are governed by the laws of Kenya. Disputes shall be resolved in the courts of Kenya. Parties agree to attempt good-faith resolution within 30 days before commencing legal proceedings.

14. Changes to These Terms

We may update these Terms and will notify you by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance. If you do not accept the changes, you may terminate your subscription before the effective date.
